These Terms consist of four parts: Web Hosting, Odoo Implementation, Odoo Support & Maintenance and Website Development. The applicable part depends on the service subscribed to.
Any order or payment implies full and complete acceptance of these Terms. Where a signed quotation or purchase order exists, its specific provisions prevail over these Terms in the event of conflict.
A Part A — Web Hosting
01Purpose
These terms govern the contractual relationship between OVS Corp SARL (hereinafter “the Provider”) and any business or individual customer (hereinafter “the Customer”) subscribing to a web hosting offer proposed on the ovscorp.net website.
In accordance with Tunisian Law No. 2000-83 of 9 August 2000, these Terms are brought to the Customer’s attention before any subscription.
02Definitions
- Service / Hosting
- All resources made available (disk space, email accounts, databases, OVS Panel, certificates, etc.).
- Subscription
- The contractual commitment by which the Customer subscribes to the Service for a fixed period.
- Subscription Period
- The annual period covered, as stated on the invoice (start date – end date).
- Anniversary Date
- The reference date of the annual cycle. Renewal takes place on each Anniversary Date.
- Suspension
- Temporary restriction of access to the Service, without deletion of data.
- Reservation
- Retention of the Customer’s environment on the servers throughout the Subscription Period, including during a Suspension.
- Termination
- The end of the contract, which may lead to the permanent deletion of data.
03Services
The Provider offers shared hosting plans whose features and prices are listed at ovscorp.net/en/webhosting/. Each invoice restates the description of the plan subscribed to.
04Order and acceptance
Subscription is made by quotation, purchase order or online order. Validation and/or payment constitutes acceptance of these Terms and triggers activation of the Service.
05Term, subscription period and renewal
5.1 Fixed term of twelve (12) months, renewable by tacit renewal unless terminated (art. 11).
5.2 Cycle anchoring. The Subscription Period runs from Anniversary Date to Anniversary Date.
5.3 Independence from the payment date. A late payment does not shift the Anniversary Date and does not open a new 12-month cycle.
5.4 The Customer is notified of the renewal by email at least 30 days before the Anniversary Date.
06Financial terms
6.1 Prices. Stated in TND excluding taxes (excl. VAT); VAT is added at the rate in force in Tunisia.
6.2 Due dates. First payment before activation. Renewals are due on the Anniversary Date.
6.3 Payment methods. Bank transfer, or cheque payable to OVS Corp SARL.
6.4 No refunds. Annual subscriptions are not refunded pro rata in the event of early termination at the Customer’s initiative.
07Suspension, reservation and reactivation
7.1 Any delay > 15 days entitles the Provider to suspend access, after informing the Customer.
7.2 The Customer’s environment remains reserved and fully preserved during the Suspension. Only access is restricted.
7.3 Suspension for non-payment gives no right to any credit or postponement of the Anniversary Date.
7.4 Access is restored upon receipt of full payment. Reconnection fees may apply.
7.5 If payment is not settled within 30 days of the Anniversary Date, the Provider may terminate the contract and permanently delete the data.
08Service level (SLA) and exclusions
8.1 Guaranteed availability: 99.95% per calendar month, excluding scheduled maintenance and exclusions.
8.2 Credits:
| Monthly availability | Compensation |
|---|---|
| ≥ 99.95% — SLA met | None |
| 99.00% – 99.94% | 5% of the monthly amount |
| 95.00% – 98.99% | 15% of the monthly amount |
| < 95.00% | 30% of the monthly amount |
Claims must be made within 30 days of the incident.
8.3 Exclusions (not counted in the SLA): suspension for non-payment, fault of the Customer, applications installed by the Customer, scheduled maintenance, force majeure, volumetric DDoS attacks, third-party services beyond the Provider’s control.
09Customer obligations
- Use the hosting for lawful purposes only;
- Not host unlawful, defamatory or pornographic content;
- Not use the resources for spam, phishing or attacks;
- Keep their credentials (OVS Panel, FTP, email) confidential;
- Make their own additional backups;
- Report any security incident without delay.
Any breach entitles the Provider to suspend the Service immediately, without notice or refund.
10Backups
The Provider performs periodic backups for continuity purposes. These backups do not replace the Customer’s own backups; the Customer must keep their own copies of their data.
11Termination and return of data
11.1 Customer: written notice to contact@ovscorp.net, 30 days before the Anniversary Date. Otherwise, automatic renewal.
11.2 Provider: breach of the Terms, non-payment or cessation of business — 30 days’ notice.
11.3 Return: the Customer has 30 days after termination to retrieve their data. Beyond that, permanent deletion may take place.
12Provider’s liability
Limited to direct damage caused by a proven fault, up to the amounts invoiced over the last 6 months. No liability for indirect damage (loss of revenue, data not backed up by the Customer).
13Personal data protection
In accordance with Tunisian Law No. 2004-63 and under the supervision of the INPDP (national personal data protection authority), the Customer’s personal data is processed solely for the performance of the contract and invoicing. No disclosure to third parties without consent, except where required by law.
14Changes to the Terms

15Governing law and jurisdiction
Tunisian law (Code of Obligations and Contracts, Law No. 2000-83). Failing an amicable solution, the Commercial Court of Tunis has exclusive jurisdiction.

04Schedule and deadlines
A schedule is drawn up jointly at project kick-off. Deadlines are estimates based on the agreed scope and the Customer’s availability.
Delays not attributable to the Provider: information not supplied by the Customer, changes of scope during the project, force majeure (Tunisian Code of Obligations and Contracts).
05Acceptance testing and acceptance
The Customer has ten (10) working days to issue written reservations. After this period, the deliverables are deemed accepted. Reservations must be precise and detailed.
06Intellectual property
6.1 Odoo. Distributed under the LGPL v3 licence (Community) or a commercial licence (Enterprise). OVS Corp does not own it. Enterprise licences are subscribed with Odoo SA.
6.2 Modules developed by the Provider. Odoo modules and developments produced by the Provider, including those produced at the Customer’s request, remain the exclusive property of OVS Corp. The Customer is granted a non-exclusive, non-transferable right of use for the term of the corresponding annual subscription and renewed with it (hereinafter the “Annual Right of Use” or “ARU”). Data entered by the Customer remains their exclusive property.
6.2 bis Acquisition for on-premise installation. The Customer may request to acquire all or part of these modules for installation on their own servers. The Provider sends a quotation; the transfer only takes place after acceptance of the quotation and full payment.
6.2 ter Non-payment of the ARU. If the ARU is not paid when due, the Customer’s Odoo instance is no longer accessible, neither for data entry nor for consultation. The Customer may request a copy of their database (full export, or “dump”) within one (1) month of the ARU end date. After this period, the Provider may permanently delete the data, without incurring any liability.
6.3 Reuse. The Provider may reuse generic methods and components without disclosing the Customer’s confidential data.

- Recovery of lost data (Customer error)
- Integration of new software or third-party APIs
02 bisIncluded support and chargeable interventions following a Customer error
To avoid any ambiguity, the Provider distinguishes interventions that are included at no extra cost from those charged on a time-and-materials basis, according to the origin of the incident.
2 bis.1 Included at no extra cost (within the support plan or during the warranty of article B.07) — the incident originates in the software or in the Provider’s work:
- reproducible defect in standard Odoo or in a development made by the Provider;
- fixes and security patches;
- incident caused by the infrastructure hosted by the Provider;
- everyday usage questions, within the hours of the plan.
2 bis.2 Charged on a time-and-materials basis — the incident results from an action by the Customer, their users or a third party acting on their behalf, in particular:
- handling error: deletion or modification of data, validation or cancellation by mistake, incorrect accounting entries;
- import of data not compliant with the template provided;
- changes to the configuration, access rights or code without prior notice to the Provider;
- installation of third-party modules or applications not approved by the Provider;
- account compromise due to disclosure or weakness of the Customer’s credentials;
- recovery or reconstruction of data lost due to the Customer.
2 bis.3 Diagnosis and prior notice. When the origin of an incident is unknown, the Provider carries out the diagnosis. If it establishes that the incident falls under article 2 bis.2, it informs the Customer, with an estimate of the time required, before undertaking any chargeable repair; no time-and-materials intervention is carried out without the Customer’s agreement, except in a duly justified emergency (production stopped, risk of data loss). The diagnosis time is then charged on the same basis.
2 bis.4 Rate. Time-and-materials interventions are invoiced at the hourly rate in force communicated to the Customer, in indivisible half-hour increments.
03Priority levels and response times
| Priority | Description | Basic | Standard | Premium |

4.3 For fault: suspension possible without notice, termination with 15 days’ notice.
05Obligations of the parties
Provider: provide support according to the SLAs of art. 3, maintain confidentiality, inform the Customer of any defect detected.
Customer: provide Odoo administrator access, describe incidents precisely via tickets, respond within reasonable time, not modify the instance without prior notice.
06Liability
Limited to the correction of defects and to the hours provided for in the plan. No liability for the economic consequences of an incident (loss of revenue, contractual penalties).
07Governing law and jurisdiction
Tunisian law (Code of Obligations and Contracts). The Commercial Court of Tunis has exclusive jurisdiction, after amicable mediation lasting one (1) month.

05Schedule, acceptance and go-live

07Intellectual property
7.1 Content. Content supplied by the Customer remains their property.
7.2 Delivered site. After full payment, the Customer holds the rights to use and exploit the graphic design and the specific code of their site.

09Hosting, security and maintenance
Where the site is hosted by the Provider, hosting is governed by Part A. The Provider applies security best practices (security headers, form protection, monitoring). Updates to WordPress and PrestaShop sites (core, themes, extensions) fall under a maintenance contract; failing that, they are the Customer’s responsibility. The Customer remains responsible for the confidentiality of their credentials.
10Commercial reference
Unless the Customer objects in writing, the Provider may list the site among its references, without disclosing any confidential information.
11Governing law and jurisdiction
Tunisian law. The Commercial Court of Tunis has exclusive jurisdiction, after an attempt at amicable resolution lasting one (1) month.
